Ughi e Nunziante in the acquisition of Limonta Informatica by Textile Solutions Group (TSG)

PRESS RELEASE

Ughi e Nunziante assisted Textile Solutions Group (TSG), a portfolio company of the German private equity fund Elvaston, in the acquisition of Limonta Informatica, whose partners were assisted by Alpeggiani Avvocati Associati.

The agreement provides for some of the selling partners of Limonta Informatica to remain as shareholders within the TSG group in Germany.

TSG is a pioneer in the automation and digitalisation of the textile industry and, with this transaction, strengthens its international positioning and market share in Italy, thanks to synergies in its product portfolio.

Limonta Informatica, based in Lecco, is a leader in Italy in ERP (Enterprise Resource Planning) software for SMEs in the domestic textile sector.

TSG was assisted by Ughi e Nunziante as legal advisor for the Italian law profiles, with a team composed of partner Amon Airoldi and senior associate Deniz Ali Asghari Kivage, as well as by the firm Morrison Foerster (Berlin), for the German law profiles, with the support of Grant Thornton for the accounting and tax aspects.

The shareholders of Limonta Informatica were assisted by Alpeggiani Avvocati Associati, as legal advisor for the Italian law profiles, with a team composed of partner Luca Iaboni and associate Giovanni Caniggia, and by Menold Bezler of Stuttgart, for the German law profiles. The Mid Cap Advisory team of EQUITA, the Italian partner of Clairfield International, acted instead as financial advisor.
