Ughi e Nunziante assisted the Dolomiti Energia Group in the acquisition of 100% of the capital of Hydrowatt SHP S.r.l. from the EPICO Group. Hydrowatt SHP S.r.l. owns 14 photovoltaic plants located in the Marche, Abruzzo, Lazio, and Molise regions, with a total capacity of 13.1 MW and an enterprise value of approximately 15 million euros.
The Dolomiti Energia Group intends to explore the possibility of involving the acquired plants in a distance self-consumption scheme with energy-intensive companies.
For the legal aspects of the transaction, the Dolomiti Energia Group relied on the assistance of Ughi e Nunziante during the pre-contractual phases, including due diligence, and the contractual phases. The multidisciplinary team was led by partner Roberto Leccese and included, among others, partner Tiziana Fiorella for regulatory and administrative matters, senior associates Pietro Pastorello, Fabio Vignola and Anna Vanni, as well as associates Leonardo Chiarelli and Margherita Augusto for corporate, contractual, and real estate aspects.
The transaction was also supported by the in-house legal department of the Dolomiti Energia Group, with the Head of Legal and Corporate Affairs, Fortunata Mazzeo, and Legal Counsel Artemio Biagini, as well as by EPICO’s legal department, with the Head of Legal and Corporate Affairs, Mauro Cuzzaniti.
